We are looking for an experienced, talented and practical in-house attorney to lead an active corporate, securities and employment practice and achieve significant business objectives by providing actionable legal counsel. In this role, you will manage all aspects of the company's compliance and reporting obligations under securities law and corporate governance requirements, as well as support the company on matters of equity administration, employment law and other internal business functions. You will also oversee the management of our foreign entities and subsidiaries. This position is based in our Mountain View, California headquarters (with the possibility of splitting time in our San Francisco office if you so desire) and reports directly to our Chief Legal Officer.

Who are we looking for?
    • You are highly accountable and possess a willingness to be hands-on with matters across the company.
    • You have experience supporting Finance, Accounting, Investor Relations, HR/Executive Compensation and Corporate Communications and an aptitude for taking front-line responsibility.
    • You have a passion for '40 Act work, employment law, mergers and acquisitions, corporate governance, executive compensation, capital markets and other related matters and deep experience leading due diligence activities in coordination with other key company stakeholders in M&A and investment activity.
    • You love making continuous improvements on internal policies and creating easy-to-use processes and crave the ability to make a positive impact on the daily lives of your colleagues across the company.
    • Equally as important as your expertise, you are a tried and true team player and are willing to lend a hand and step up to help out in areas that may be outside your expertise if needed (say, for example, managing litigation matters). No challenge is too big, no project is too small.

Preferred Qualifications: You have:
    • 7+ years of experience at a top-tier law firm and/or public company in-house department practicing as a corporate/securities/mergers & acquisitions lawyer.
    • Experience directly advising company clients on SEC-related reporting matters, including Form 10-Ks, 10-Qs, 8-Ks, proxy statements and Section 16 filings
    • Successfully managed outside counsel and are well versed in working with a budget to efficiently use outside resources
    • Strong knowledge and understanding of corporate governance and securities law regarding periodic reporting and Sarbanes-Oxley
    • Proficiency with foreign entity and subsidiary management
    • A team-oriented focus, with the ability to think creatively in resolving business and legal issues
    • Proven ability to work directly with senior management, interface with multiple constituencies and manage internal and external resources, all in a high-pressure, ever-changing corporate environment
    • Excellent written, oral and interpersonal communication skills
    • Strong commitment to client service and quick turnaround
    • A Juris Doctor degree and are a member in good standing of at least one US State bar (preferably California)
    • A love for what you do and take your work but not yourself too seriously
